TERMS OF USE
Your use of the FastDemocracy website (currently https://fastdemocracy.com/ and its successor sites and the services provided therein (collectively, the “Site”)) is subject to your acceptance of these Terms of Use, including the AI Addendum (collectively, the “Terms”). Please read these Terms carefully as this is a binding legal document between you (“you”) and FastDemocracy Corp. (“FastDemocracy” or “we”).
By accessing or using the Site in any way or creating an account, you represent and confirm that you have read, understood, and agree to be bound by these Terms, you are of legal age to form a binding contract with FastDemocracy, and you have the authority to enter into these Terms personally or on behalf of an entity named and to bind that entity to these Terms. If you do not agree to these Terms, do not use or access the Site. You must comply with these Terms to continue to use the Site.
We may update these Terms from time to time in our sole discretion and with or without notice, so check the revised effective date at the bottom of these Terms. You can find the current version of the Terms at any time by clicking the “Terms of Use” link located on Site. When changes are made, we will make a new copy of the Terms available on the Site. By using or accessing the Site after the effective date of such changes, you accept and agree to be bound by the the new Terms. If you do not agree to the changes, you must immediately stop using the Site. FastDemocracy and you may each be referred to herein as a “Party” and collectively as the “Parties.”
PLEASE BE AWARE THAT ANY DISPUTE BETWEEN YOU AND FASTDEMOCRACY IS SUBJECT TO A CLASS ACTION WAIVER AND MUST BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION. PLEASE READ THE DISPUTE RESOLUTION PROVISION AS IT AFFECTS YOUR RIGHTS UNDER THESE TERMS.
License and User Conduct
Subject to the terms and conditions of these Terms and during the term of your access and use of the Site, FastDemocracy grants you a limited, nonexclusive, nontransferable, personal, revocable right to access and use the Site only for your personal purposes and strictly in accordance with these Terms. FastDemocracy also hereby grants you a limited, revocable, non-exclusive and non-transferable license, without the right to sublicense, to access, use, copy and display the Content for your personal purposes and strictly in accordance with these Terms. All rights not expressly granted in these Terms are reserved by FastDemocracy.
These Terms apply to any upgrades by FastDemocracy that amend, replace and/or supplement the version of the Site that you initially used or accessed, unless the upgrade is expressly governed by a separate license. FastDemocracy may update the functionality, user interfaces, and usability from time to time in its sole discretion as part of its ongoing mission to improve the Site. FastDemocracy reserves the right to, at any time, modify, update, suspend or discontinue the Site without notice to you and will not be liable to you or any third party for such modification, update, suspension, or discontinuation.
You agree that you will comply with these Terms and that you will not: (a) engage in conduct or communications that are obscene, fraudulent, indecent, defamatory, abusive, harassing, or threatening to others, or negatively impacts others’ ability to use the Site; (b) upload, post, or transmit any material that involves or contains any viruses, malware, worms, time bombs, cancelbots, or other disabling devices or other harmful components intended to, or that may, damage, detrimentally interfere with, surreptitiously intercept, or expropriate the Site or any system, data, or personal information contained therein; (c) use the Site to advocate or encourage any illegal activity; (d) use the Site to infringe on or violate the copyright, patent, trademark, trade secret, right of publicity, or other intellectual property or proprietary right of any third party or make content available to the Site for which you do not have the right to make available; (e) violate the privacy of individuals, including, but not limited to, other users of the Site; (f) engage in, assist, or encourage any conduct, activities, or communications that affect the operation, access, or usability of the Site for any other authorized user; (g) access the Site to build a similar or competitive product or service or use the Site to gather information unlawfully about FastDemocracy; (h) remove or modify any markings or identification, proprietary, copyright or other notice of FastDemocracy’s or its licensors’ proprietary rights in the Site or Content; (i) make any representations or warranties relating to the Site or Content on behalf of FastDemocracy; or (j) use the Site to violate any applicable local, state, national or international law.
You also agree that you will not attempt to gain unauthorized access to any portion or feature of the Site or FastDemocracy’s systems, networks or servers by hacking, reverse engineering, password “mining” or any other illegitimate means. You shall use commercially reasonable efforts to prevent unauthorized access to or use of the Site, and promptly notify FastDemocracy of any such unauthorized access or use. You agree not to access, acquire, copy, monitor, circumvent, attempt to derive the source code of, modify, or create derivative works of any portion of the Site or any updates thereto, or FastDemocracy’s products, services, systems, networks or servers nor do any of the foregoing to obtain or attempt to obtain any Content (defined below), materials, documents, or information through any means not purposely made available by FastDemocracy through the Site. Except where expressly permitted, you may not rent, lease, lend, sell, redistribute, or license the Content, the Site, our products or services, or access to the same or any portion thereof.
We may make improvements, changes, or amendments to Site, the information, services, products, and other materials on the Site, or suspend, disable, or terminate the Site or your access to or access of the Site (or any functions or features thereof or Content contained therein), at any time in our sole discretion with or without notice. In no event will we be liable to you or any third party for any of the foregoing. The Site that may be accessed from, displayed on or linked to your mobile device or PC is not available in all languages or in all countries. We make no representations and hereby expressly disclaim that the Site is appropriate or available for use in any particular location. To the extent you choose to access the Site, you do so at your own initiative and are responsible for compliance with any applicable laws, including but not limited to applicable local laws.
Any use of the Site in violation of these Terms shall immediately terminate any and all permissions or licenses granted by FastDemocracy to the Site or its Content.
To the extent applicable, if you create an account, it cannot be shared or used by more than one user. If you have an account, you acknowledge and understand your account information is provided and controlled by you. Upon registration, you will select a password from FastDemocracy to access your account on the Site. Do not disclose your password to anyone else. You are solely responsible and liable for all uses of the Site under your account and for maintaining the confidentiality of the login and password. Immediately notify FastDemocracy if you become aware of an unauthorized use of your password or any breach of security.
Information You Provide
You agree that all Your Data (defined below) you or a third party acting on your behalf provide to FastDemocracy will be true, accurate, current, and complete. You represent and warrant that you have the legal right, permissions, and consents to provide such information to FastDemocracy in connection with the Site, and such information does not violate any third party’s intellectual property, privacy, or other rights.
By uploading, sending, posting or otherwise providing any information or material to FastDemocracy or through the Site (“Your Data”), you grant FastDemocracy an unrestricted, worldwide, non-exclusive, sublicensable, transferable, and royalty-free license to use, reproduce, display, perform, modify, transmit and distribute your data and provide necessary access to third party service providers acting on FastDemocracy’s behalf, only: (a) to provide, maintain, and update the Site for you; (b) to prevent or address service or technical problems or at your request in connection with support matters; (c) as compelled by law; or (d) as expressly permitted in writing by you. Subject to the limited licenses granted herein, we acquire no right, title, or interest under this Agreement in or to any of Your Data. You agree that FastDemocracy is free to use any feedback, ideas, concepts, know-how or techniques that you provide us for any purpose, including creating derivative works and you hereby grant us an unlimited, irrevocable, perpetual, sublicensable, royalty-free license to use any such feedback or ideas for any purpose without any obligation or compensation to you.
You agree that we may collect and use technical data and related information, including but not limited to, technical information about the device, systems, software and device peripherals you use to access the Site. You also agree that we may collect information about your activities on the Site, like the duration and frequency of your usage sessions, information regarding application crashes, screens viewed, gestures (i.e., taps, swipes, pinches, etc.), first-time or returning user status, links you click, flow and navigation path. We may use this information, as long as it is in a form that does not personally identify you, for FastDemocracy’s lawful business purposes, including but not limited to improving FastDemocracy’s products or to provide services or technologies to you.
Third Party Sites and Information
The Site may have links to other websites or make reference to information, documents, software, materials and/or services provided by other parties. We have no control over these websites or resources, nor do we sponsor or endorse them by implication. You agree that FastDemocracy is not responsible or liable, directly or indirectly, for any damage or loss caused to you by your use of or reliance on any content, goods, or services available through a third-party website or internet resource. FastDemocracy hereby expressly disclaims the responsibility and liability for the performance or availability of such other third-party sites, and you hereby acknowledge and agree you accept all risks associated with the use of such sites.
You agree to remove and/or disable any third-party link upon our demand. You may not frame or utilize framing techniques to enclose any marks, photographs, proprietary information or other Content (including images, text, page layouts, etc.) of FastDemocracy’s website without the express written consent of FastDemocracy.
Indemnification
You agree to defend, indemnify, and hold FastDemocracy and its affiliates, partners, agents and subsidiaries, harmless from all liabilities, claims, and expenses, including attorney’s fees, that arise from (i) your use or misuse of the Site or the Content; (ii) by any conduct by you or those acting on your behalf that would constitute a breach of any of these Terms or applicable law by you; or (iii) any of Your Data that actually or allegedly infringes, misappropriates, or otherwise violates the rights, including privacy and publicity rights, of any other party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
Intellectual Property
The entire content of the Site, including, but not limited to, text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code, and the design, structure, selection, coordination, expression, “look and feel” and arrangement of such content (collectively, “Content”) is owned controlled, or licensed by or to FastDemocracy. Subject to the limited rights expressly granted to you hereunder, FastDemocracy reserves and retains and, as between FastDemocracy and you, FastDemocracy exclusively owns, all rights, title, and interest in and to the Site and Content, including all software, data compilations, materials related to the Site, all patents, trademarks, copyrights (whether or not any of the foregoing is registered or registerable), and trade secrets related to the Site, and all modifications, derivative works, upgrades, and updates thereto, and all related intellectual property rights therein, notwithstanding that portions of the Site or Content may be derived in whole or in part from publicly available sources. Your use of the Site does not grant you any rights to any of the Content except as otherwise permitted herein. Otherwise, nothing on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use the Site or the Content except as permitted or consented by these Terms. Any other use of the Site, in whole or in part, without permission of the applicable rights holder, is strictly prohibited.
The Site and its Content, except for those aspects in the public domain, are protected from unauthorized copying and dissemination by United States laws for copyright, trademark, trade dress, unfair competition, as well as international conventions and other intellectual property laws.
All page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of FastDemocracy or its licensors and may not be copied, imitated, or used, in whole or in part, without our prior written permission. FastDemocracy’s name and logo and all other names within the Site are trademarks or service marks of FastDemocracy or the respective third party (collectively, the “Marks”). No right or license to use the Marks is granted under this Agreement, except that you shall have the limited right to use the Marks solely as they appear in the Site.
Digital Millennium Copyright Act Notice
FastDemocracy respects the intellectual property rights of others and users of the Site are expected to do the same. We will investigate reports of alleged infringement and will take appropriate action to remove or disable access to any material found likely to be infringing. If you believe our Site (or any portion of it) infringes your copyright, please provide the following information:
- A physical or electronic signature of the person authorized to act on behalf of the owner of an exclusive copyright that has allegedly been infringed;
- A description of the copyrighted work that you believe has been infringed;
- The location on the Site of this allegedly infringing material;
- Your address, telephone number and email address and any other pertinent information sufficient to allow FastDemocracy to contact you;
- A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
- A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner’s behalf.

Confidentiality
“Confidential Information” means all confidential information disclosed by a Party (“Disclosing Party”) to the other Party (“Receiving Party”), whether orally, in writing, or any form or medium, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including all copies thereof. Your Confidential Information includes Your Data, and Confidential Information of FastDemocracy includes the Site, Content, and the terms of this Agreement. However, Confidential Information will not include any information that: (a) is or becomes generally available to the public without breach of any obligation owed to the Disclosing Party; (b) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party; (c) is received from a third party without breach of any obligation owed to the Disclosing Party; or (d) was independently developed by the Receiving Party without use of or reliance on the Confidential Information of the Disclosing Party.
The Receiving Party will: (a) use the same degree of care that it uses to protect the confidentiality of its own confidential information of like kind (but in no event less than reasonable care); (b) not use any Confidential Information of the Disclosing Party for any purpose outside the scope of this Agreement; and (c) except as otherwise authorized by the Disclosing Party in writing, limit access to Confidential Information of the Disclosing Party to those of the Receiving Party’s and its affiliates’ employees, contractors, and agents who need such access for purposes consistent with this Agreement and who are subject to confidentiality obligations at least as restrictive as those herein. The Receiving Party will provide prompt written notice to the Disclosing Party of any unauthorized use or disclosure of the Disclosing Party’s Confidential Information. Upon request of the Disclosing Party during the term of this Agreement, the Receiving Party will promptly return, or at the Disclosing Party’s option destroy, any or all Confidential Information of the Disclosing Party in the Receiving Party’s possession or under its control. The Parties acknowledge that the Confidential Information is unique and valuable, and that breaching the confidentiality obligations of this Agreement may result in irreparable injury to the Disclosing Party for which monetary damages alone might not be an adequate remedy. Therefore, the Parties agree that in the event of a breach or threatened breach of the Parties’ confidentiality obligations, the Disclosing Party shall be entitled to seek specific performance and injunctive or other equitable relief as a remedy without needing to post a bond. Any such relief shall be in addition to and not in lieu of any other appropriate relief.
The Receiving Party may access or disclose Confidential Information of the Disclosing Party if it is compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior notice of such compelled access or disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party’s expense, if the Disclosing Party wishes to contest the access or disclosure. The Receiving Party further agrees it will disclose only the portions of the Confidential Information which is legally required and will exercise all reasonable efforts to obtain reliable assurances that confidential treatment will be applied to the disclosed Confidential Information.
Representations & Warranties; Disclaimers
You warrant that you have (i) obtained and will maintain all rights, consents, and permissions necessary for you to make available Your Data to FastDemocracy for our use as contemplated herein, and (ii) the requisite authority to enter this Agreement.
THE SITE AND ITS CONTENT ARE FOR GENERAL INFORMATION ONLY AND PROVIDED “AS IS” AND “AS AVAILABLE” WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND.
FASTDEMOCRACY DOES NOT WARRANT THAT YOUR USE OF THE SITE WILL BE UNINTERRUPTED OR WITHOUT PROBLEMS OR ERRORS, THAT DEFECTS IN OR ON THE SITE WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME THE ENTIRE RISK OF ANY RELIANCE ON THE SITE OR ITS CONTENTS.
FASTDEMOCRACY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND REPRESENTATIONS REGARDING THE SITE OR ITS CONTENTS, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, INCLUDING, WITHOUT LIMITATION, ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, REASONABLE CARE, SECURITY, QUALITY, TIMELINESS, AVAILABILITY, COMPLETENESS, RELIABILITY, ACCURACY, AND/OR FITNESS FOR A PARTICULAR PURPOSE (WHETHER OR NOT FASTDEMOCRACY IS IN FACT AWARE OF ANY SUCH PURPOSE).
WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF TITLE AND/OR NON-INFRINGEMENT WITH RESPECT TO THE SITE OR ITS CONTENT.
FASTDEMOCRACY MAKES NO WARRANTY OF ANY KIND THAT THE SITE OR ANY RESULTS OF THE USE THEREOF WILL ACHIEVE ANY INTENDED RESULT OR BE ACCURATE, COMPLETE, OR ERROR FREE.
The information on the Site does not constitute the rendering of legal, accounting, tax or other such professional advice.
Limitation of Liability
UNDER NO CIRCUMSTANCES SHALL FASTDEMOCRACY, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SPONSORS OR AGENTS BE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES ARISING OUT OF OR RELATING IN ANY WAY TO THE SITE, THE CONTENT, OR OTHER INFORMATION CONTAINED WITHIN THE SITE, EVEN IF FASTDEMOCRACY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES WHETHER THE DAMAGES ARE BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
YOUR SOLE REMEDY AND FASTDEMOCRACY’S SOLE LIABILITY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING THE SITE AND REPORT ANY ISSUES TO FASTDEMOCRACY. NOTWITHSTANDING THESE LIMITATIONS, FASTDEMOCRACY’S SOLE LIABILITY UNDER THESE TERMS OF USE SHALL BE LIMITED TO THE COST INCURRED BY YOUR USE OF THE SITE, IF ANY, OR $500, WHICHEVER IS LESS.
SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY IN WHOLE OR IN PART TO YOU BUT, IN ANY CASE, SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Any claim under these Terms must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred, and any claim by you is subject to the Limitation of Liability set forth above.
Term & Termination
These Terms shall be effective as of your acceptance and will remain in full force and effect until we terminate your access to and use of the Services. We may suspend your access to the Site or Content, in whole or in part, if: (a) you are using the Site or Content in violation of these Terms or any applicable law; (b) suspension of the Site or Content is necessary, in our reasonable discretion, to protect the security of the Site or the infrastructure of FastDemocracy; or (c) suspension is required by applicable law.
We may terminate these Terms upon written notice to you. Upon termination, you shall cease to access and use the Site and Content. We will not be liable to you or any third party for any termination of your access to and use of the Site and Content.
The sections titled “Information You Provide,” “Third Party Sites and Information,” “Indemnification,” “Intellectual Property,” “Confidentiality,” “Representations & Warranties; Disclaimers,” “Limitation of Liability,” “Term & Termination,” and “General Provisions” will survive any termination of these Terms.
General Provisions
These Terms and the resolution of any dispute related to these Terms, the Site, or the Content, will be governed by and construed according to the laws of Delaware without regard to its conflicts of laws principles. TO THE EXTENT PERMITTED BY LAW, ANY DISPUTE, CLAIM, OR CAUSE OF ACTION IN ANY WAY RELATED TO THE SITE OR CONTENT SHALL BE RESOLVED BY MANDATORY, CONFIDENTIAL, FINAL, AND BINDING ARBITRATION IN MISSOURI ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES. YOU AGREE THAT ALL DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS. YOU UNDERSTAND, ACKNOWLEDGE AND AGREE THAT YOU ARE WAIVING YOUR RIGHT TO A COURT OR JURY TRIAL AND ANY RIGHT TO LITIGATE OR ARBITRATE ANY CLAIM AS A CLASS ACTION, REPRESENTATIVE ACTION, OR CLASS ARBITRATION. THIS SECTION IS GOVERNED BY THE FEDERAL ARBITRATION ACT. Notwithstanding the foregoing, any action to enforce these Terms or a matter or dispute arising out of the Site or its Content will be held in and subject to the exclusive jurisdiction and venue of the federal courts in Kansas City, Missouri or the state courts located in Jackson County, Missouri, and each Party hereby waives any defenses it may have before such courts based on a lack of personal jurisdiction or inconvenient forum.
Failure by FastDemocracy to insist upon strict enforcement of any provision of these Terms will not be construed as a waiver of any provision or right held by FastDemocracy. Any waiver must be in writing.
If any of these Terms are deemed invalid, void, or unenforceable, that term will be deemed severable and will not affect the validity and enforceability of any remaining term.
You may not assign or transfer your rights or obligations under the Terms, by operation of law or otherwise, without FastDemocracy’s prior written consent. Any attempt by you to assign or transfer your rights or obligations under these Terms, without such consent, will be null and of no effect. FastDemocracy may assign or transfer its rights and obligations under these Terms, at its sole discretion, without restriction. Subject to the foregoing, the rights and obligations of the parties under these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
The Parties are independent contractors and these Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the Parties. There are no third-party beneficiaries to this Agreement.
FastDemocracy will not be liable under these Terms by reason of any failure or delay in the performance of its obligations due to events beyond its reasonable control, which may include natural disasters, fires, epidemics, pandemics, riots, war, terrorism, denial of service attacks, internet outages, labor shortages, and judicial or government action (each, a “Force Majeure Event”). If FastDemocracy’s nonperformance hereunder due to a Force Majeure Event persists for more than 30 days, FastDemocracy may immediately terminate these Terms without charge or penalty upon notice to you.
To the maximum extent permitted by applicable law, you agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfies any legal requirement that such communications be in writing. AI ADDENDUM
This AI Addendum (“Addendum”) supplements and forms part of the Terms. By accessing or using any features of the Site that incorporate artificial intelligence or machine learning technologies (collectively, “AI Features”), you agree to the terms of this Addendum. In the event of a conflict between this Addendum and the Terms, this Addendum governs with respect to AI Features.
Your Responsibilities
You agree to use the AI Features only in compliance with this Addendum, the Terms, and all applicable laws. You understand that the AI Features may generate results, responses, or other content generated by the system (“Outputs”) that are inaccurate, incomplete, or otherwise unexpected, and you are solely responsible for evaluating, verifying, and determining the appropriateness of any Outputs before relying on, sharing, or using them. You must not use the AI Features to generate, transmit, or disseminate unlawful, harmful, fraudulent, misleading, discriminatory, defamatory, or otherwise objectionable content, or in connection with legal purposes where reliance on machine-generated Outputs could result in harm. You may not attempt to reverse-engineer, extract, copy, or otherwise derive the underlying models, algorithms, or systems of the AI Features, or use the AI Features in any manner that infringes, misappropriates, or otherwise violates the rights of any third party, including intellectual property, privacy, or publicity rights. You are responsible for ensuring that any data or information you submit to the AI Features (“Inputs”) is accurate, lawful, and free from viruses, malicious code, or other harmful content. Because the AI Features may process Inputs and Outputs through third-party providers, you should not submit personal, confidential, or sensitive information unless you understand and accept the risks of doing so. You agree to indemnify, defend, and hold harmless FastDemocracy, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your misuse of the AI Features, your reliance on any Outputs, or your violation of this Addendum or applicable law.
