1 A BILL for an Act to amend and reenact subsection 2 of section 10-33-75 of the North Dakota
2 Century Code, relating to remote communication for nonprofit corporations; and to declare an
3 emergency.
4 BE IT ENACTED BY THE LEGISLATIVE ASSEMBLY OF NORTH DAKOTA:
5 SECTION 1. AMENDMENT. Subsection 2 of section 10-33-75 of the North Dakota Century
6 Code is amended and reenacted as follows:
7 2. To the extent authorizedUnless otherwise provided by the articles or bylaws and
8 determined by the board:
9 a. A meeting of the members may be held solely by one or more means of remote
10 communication:
11 (1) If notice of the meeting is given to every member entitled to vote; and
12 (2) If the number of voting members participating in the meeting is sufficient to
13 constitute a quorum at a meeting.
14 b. A member not physically present at a regular or special meeting of members may
15 by means of remote communication participate in a meeting of members held at
16 a designated place.
17 SECTION 2. EMERGENCY. This Act is declared to be an emergency measure.
