In my capacity as the Agency Fiscal Officer of the Department of General Services (the
“Department”), I hereby certify that Modification No. to 2 Contract No. DCAM-21-CS-RFP-
0008Q for Construction Management Services between the Department and Procon Consulting,
LLC (the “Contractor”) with a Not-To-Exceed (“NTE”) value of $3,000,000.00 and a guaranteed
minimum value of $50.00 is consistent with the Department’s current budget and that adequate
funds are available in the budget for the expenditure. The $50.00 minimum value is hereby certified.
Funds supporting individual task order agreements, above the minimum amount certified of $50.00,
to be issued against Option Year One (“Option Year One”) with an annual aggregate NTE value
of $3,000,000.00, will be reviewed for certification and approval at the time of issuance of any
such task order agreements. Each task order is subject to availability of appropriated funds.
Task orders agreements, ineligible for capital expenditure, will be funded under the Department
of General Services (DGS) operating budget, if funding is available.
The Department of General Services (AM0-Implementing AGY) has $50.00 in DC Public
Schools (GA0 – Owner AGY) cumulative capital budget authority balance.

1. Description of Proposed Contract
The Department of General Services (the “Department”) seeks approval of the above-referenced
modification for the Basic Ordering Agreement for Construction Management Services (DCAM-
21-CS-RFQ-0008Q) (the “Contract”) between the Department and Procon Consulting, LLC (the
“Contractor”). If approved, proposed Modification No. 2 to the Contract, which is Indefinite
Delivery/Indefinite Quantity (“IDIQ”) contract, would authorize the Contractor to continue
providing construction and project management services to aid the Department’s Capital
Construction Division in the execution of its portfolio of construction projects (the “Project”).
The Contract, as awarded, contains a base term (“Base Year”) and four (4) one-year option periods
(“Option Years”), with a guaranteed minimum amount of $50.
The Department now seeks Council approval for Modification No. 2 to fully exercise Option Year
1 through June 15, 2024, with a guaranteed minimum amount of $50 and a NTE amount of
$3,000,000 and to authorize the Contractor to continue providing construction management

services. The proposed Modification No. 2, like the underlying Contract, does not authorize any
specific work or guarantee that any work will be assigned to the Contractor. As the NTE amount
of proposed Modification No. 2 exceeds $1 million, Council approval is required for this contract
action.
2. Procurement Process
The underlying Contract was competitively bid and previously submitted to and approved by the
Council as CA24-04518.
On June 15, 2023, Modification No. 1 was executed and partially exercised Option Year 1 with a
period of performance from June 16, 2023, to July 15, 2023. This was a zero-cost modification
and thus Council approval was not required.
The proposed Modification No. 2, if approved, would fully exercise Option Year 1 in the
guaranteed minimum amount of $50 and a NTE amount of $3,000,000 and extend the term of the
Contract through June 15, 2024.
3. Legal Review
Congress amended §451 of the District of Columbia Home Rule Act by requiring that no contract
involving the expenditure of funds in excess of $1 million in a 12-month period be made “unless
the Mayor submits the contract to Council for its approval and the Council approves the contract.”
District of Columbia Financial Responsibility and Management Assistance Act of 1995 §304(a),
109 Stat. 151 Pub. L. 104-8 (April 17, 1995) (codified at D.C. Official Code §1-204.51(b) (2001).
Proposed Modification No. 2 is in excess of $1 million and is subject to the §451 requirement of
the District of Columbia Home Rule Act. Thus, Council review and approval of the Contract
modification is required under the District of Columbia Home Rule Act.
This office was asked to review proposed Modification No. 2 to the Contract for legal sufficiency.
I have reviewed and approved proposed Modification No. 2 to the Contract for legal sufficiency.
Please be advised that my finding that proposed Modification No. 2 to the Contract is legally
sufficient, is premised on its submission to and approval by the Council of the District of Columbia,
as required by §§1-204.51(b) and 2-352.02 of the District of Columbia Official Code for contracts
valued over $1 million, and the issuance of a Fiscal Certification by the Department’s Agency
Fiscal Officer.
