To declare the existence of an emergency with respect to the need to approve the Annual-Year
Contract No. PO631447 with OverDrive, Inc., to provide a 365-calendar day
performance period for e-download digital content services.
RESOLVED, BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That this
resolution may be cited as Annual-Year Contract No. PO631447 with OverDrive, Inc.,
Approval and Payment Authorization Emergency Declaration Resolution of 2021.
Sec. 2. (a) There exists an immediate need to approve Annual-Year Contract No.
PO631447 with OverDrive, Inc., for e-download digital content services. The period of
performance is for 365 calendar days.
(b) On October 1, 2020, District of Columbia Public Library (DCPL) issued Purchase
Order (PO) No. PO631447 for $900,000 to OverDrive, Inc., for e-download digital content
services. On March 5, 2021, DCPL increased the amount of the PO by $90,000 and
subsequently, on March 21, 2021, further increased the PO by $9,999 for a total PO amount of
$999,999.
(c) Council approval is sought to immediately increase the amount of PO No. PO631447
for fiscal Year 2021 by $900,001 from $990,000 for an annual PO amount not to exceed $1.9
million. The increase is needed due to a 40% surge in patron e-download services as a result of
the COVID-19 pandemic.
(d) The estimated total expenditure under this annual-year delivery of services with
OverDrive, Inc., is in the amount of $1.9 million for the annual-year period of October 1, 2020,
through September 30, 2021.
(e) DCPL seeks Council approval of this annual-year contract consisting of a
performance period of 365-calendar days.
(f) Council approval is necessary to allow the performance and payment for these vital
services. Without this approval, OverDrive, Inc., cannot perform the annual-year services

consisting of 365 calendar days or be paid for the proposed services to be provided in excess of
$1,000,000.
Sec. 3. The Council determines that the circumstances enumerated in section 2 constitute
emergency circumstances making it necessary that the Annual-Year Contract No. PO631447
with OverDrive, Inc., Approval and Payment Authorization Emergency Act of 2021 be adopted
after a single reading.
Sec. 4. This resolution shall take effect immediately.
