204.51) and the Procurement Practices Reform Act (D.C. Official Code 2-351.01 ef seq.),
enclosed for consideration and approval by the Council of the District of Columbia is proposed
contract CW78664 with Friendship Place. The proposed contract is in the not to exceed amount
of $3,263,962.00 for the period of February 10, 2020 through February 9, 2021.
Under the proposed Contract, Friendship Place shall provide comprehensive services necessary to
operate as home-like environments for families experiencing homelessness located within the
District.

Human Care Agreement Amount: Not-to-Exceed $3,263,962.00
Unit and Method of Compensation: This HCA has fixed unit rates. The contractor will be
compensated based on two (2) payment components: 1) a
monthly base compensation based upon the maximum
capacity per Short Term Family Housing Site and 2) a cost
reimbursement component that reimburses the Provider for
replacing furniture.
Term of Contract: February 10, 2020 through February 9, 2021
Type of Contract: Human Care Agreement (HCA) under which task orders
(contracts) are to be issued for District requirements.
Source Selection Method: Request for Qualifications (RFQ)
(B) For a contract containing option periods, the contract amount for the base period and for
each option period. If the contract amount for one or more of the option periods differs from
the amount for the base period, provide an explanation of the reason for the difference:
Base Period Amount: $3,263,962.00 NTE
Option Period 1 Amount: $3,852,384.58 NTE
Explanation of difference from base period (if applicable):
An 18% increase in cost from Base Period to Option Period One has been anticipated given that
Base Period cost is comprised of 2-month ramp-up cost plus 10-month operation cost. However,
the increase in operation cost from Base Period to Option Period One is three percent. Furthermore,

an increase of no more than three percent in operation cost is estimated for the remaining Option
Periods.
Option Period 2 Amount: $3,967,956.11 NTE
Explanation of difference from base period (if applicable):
A three percent increase has been anticipated in the compensation portion of the previous Option
Period total costs.
Option Period 3 Amount: $4,086,994.80 NTE
Explanation of difference from base period (if applicable):
A three percent increase has been anticipated in the compensation portion of the previous Option
Period total costs.
Option Period 4 Amount: $4,209,604.64 NTE
Explanation of difference from base period (if applicable):
A three percent increase has been anticipated in the compensation portion of the previous Option
Period total costs.
(C) The date on which the letter contract or emergency contract was executed:
The Letter Contract was executed on February 7, 2020.
(D) The number of times the letter contract or emergency contract has been extended:
The Letter Contract has been extended once from June 8, 2020 through June 20, 2020.
(E) The value of the goods and services provided to date under the letter contract or emergency
contract, including under each extension of the letter contract or emergency contract:
The total value of goods and services provided to date is NTE $995,397.04.
(F) The goods or services to be provided, the methods of delivering goods or services, and any
significant program changes reflected in the proposed contract:
The purpose of this Human Care Agreement is to provide comprehensive core services necessary to
operate one or more Short Term Family Housing sites as home-like environments for families
experiencing homelessness located within the District. The Short-Term Family Housing support
services include management of day-to-day operations, case management and other supportive
services, linkage and connection to community supports, food, security, janitorial, and furniture
services. The Districts provision of homeless services, based on a Continuum of Care, includes a
network of service providers to provide services to families who are homeless or at risk of
becoming homeless in the District. The District shall respond to the changing needs of individuals
and families by ensuring that transfer between and among services within the Continuum of Care is
fluid and allows clients to modify the intensity of services they receive to meet their needs,
preferences, and changing circumstances. Further, without this contract, the lack of shelters and

services would have a catastrophic effect on the Districts most at risk and vulnerable residents who
rely on these services to survive.
(G) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance components:
An electronic Request for Qualifications (RFQ), DOC371888, was issued in the open market
utilizing the Office of Contracting and Procurements (OCP) Procurement Automated Support
System (PASS) on March 28, 2018 and officially closed on May 3, 2018. The District received ten
submissions, in response to DOC371888, Short Term Family Housing. Only three of the ten
submissions received were for the services pursuant to the RFQ, Site 7. All responses received for
Site 7 were deemed Qualified and providers were notified on June 14, 2018. After the
qualifications were issued one Provider no longer wanted to be considered for Site 7 and the other
had already been awarded two sites. It was in the best interest of the District to award site 7 to
Friendship Place.
The responses were evaluated according to the Qualification criteria set forth in Attachment D of
the RFQs INSTRUCTIONS, CRITERIA, CONDITIONS AND NOTICES TO PROVIDERS.
Providers met the criteria and were deemed Qualified. A Human Care Agreement will be awarded
contingent upon Council approval.
(H) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District. Include the identity of the protestor, the grounds
alleged in the protest, and any deficiencies identified by the District as a result of the protest:
No bid protests have been filed based on the award of the Human Care Agreement.
(I) The background and qualifications of the proposed contractor, including its organization,
financial stability, personnel, and performance on past or current government or private
sector contracts with requirements similar to those of the proposed contract:
Friendship Place has adequate financial resources to perform the contract and the ability to obtain
those resources. The evidence is provided from the Contractors financial history as reported by
Dun and Bradstreet Business Report; Completed on March 12, 2020. The Contractor has provided
the same or similar services for the District and other local government agencies and received
positive performance ratings. This evidence is provided in their Past Performance evaluations
submitted on January 8, 2020. The provider of these services and its performance has been
consistent, in conformance, and satisfactory.
(J) A summary of the subcontracting plan required under section 2346 of the Small, Local, and
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended,
D.C. Official Code 2-218.01 et seq. (Act), including a certification that the subcontracting
plan meets the minimum requirements of the Act and the dollar volume of the portion of the
contract to be subcontracted, expressed both in total dollars and as a percentage of the total
contract amount:

Friendship Place submitted a subcontracting plan that exceeds the minimum requirement of the
District. The subcontracting plan is for 45.98% or $1,500,660.00 of the dollar volume of the
contract to certified business enterprises. The Contracting Officer certifies that the proposed
subcontracting plan meets the requirements.
(K) Performance standards and the expected outcome of the proposed contract:
The District expects the Contractor to provide comprehensive services necessary to operate as
home-like environments for families experiencing homelessness located within the District.
In Section F of the Human Care Agreement, the District outlined the required deliverables that the
Contractor is responsible for providing. The goal of this program is to empower every District
resident to reach their full potential by providing meaningful connections to work opportunities,
economic assistance and supportive services.
(L) The amount and date of any expenditure of funds by the District pursuant to the contract
prior to its submission to the Council for approval:
The total value of goods and services provided to date is $995,397.04.
(M) A certification that the proposed contract is within the appropriated budget authority for the
agency for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code 47-392.01 and 47-392.02:
Per the Funding Certification, the agencys Associate Chief Financial Officer certified that funds in
the required amount are available to fund the services.
(N) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:
The proposed Human Care Agreement has been reviewed for legal sufficiency by the Office of the
Attorney General and has been determined to be legally sufficient.
The proposed contractor does not have any currently pending legal claims against the District.
(O) A certification that Citywide Clean Hands database indicates that the proposed contractor is
current with its District taxes. If the Citywide Clean Hands Database indicates that the
proposed contractor is not current with its District taxes, either: (1) a certification that the
contractor has worked out and is current with a payment schedule approved by the District;
or (2) a certification that the contractor will be current with its District taxes after the District
recovers any outstanding debt as provided under D.C. Official Code 2-353.01(b):
The Citywide database indicates the Contractor is current with its District taxes, as of March 12,
2020.

(P) A certification from the proposed contractor that it is current with its federal taxes, or has
worked out and is current with a payment schedule approved by the federal government:
Based on information contained in the Bidder Offeror certification form, Friendship Place has
certified that it is current with its federal taxes and does not have any outstanding debt to the federal
government.
(Q) The status of the proposed contractor as a certified local, small, or disadvantaged business
enterprise as defined in the Small, Local, and Disadvantaged Business Enterprise
Development and Assistance Act of 2005, as amended; D.C. Official Code 2-218.01 et seq.:
The provider is not a certified local, small, or disadvantaged business enterprise.
(R) Other aspects of the proposed contract that the Chief Procurement Officer considers
significant:
None.
(S) A statement indicating whether the proposed contractor is currently debarred from providing
services or goods to the District or federal government, the dates of the debarment, and the
reasons for debarment:
Friendship Place is not debarred or suspended from Federal or District procurements, based on
searches of the District Office of Contracting and Procurement (OCP) excluded parties list, Office
of the Inspector General (OIG) exclusion database, System for Award Management (SAM)
database all conducted on March 12, 2020.
