The bill modifies the duties of registered agents for corporations, partnerships, and associations in Wyoming. It requires registered agents to maintain updated records of the names and addresses of all owners of each domestic entity they represent, including partners, members, and shareholders. This information must be kept current within sixty days of any change until the entity's first annual report is filed, and subsequently, when the annual report is due. However, there are exceptions for entities that have more than one hundred owners, maintain a fixed physical business location in the state, or are classified as decentralized autonomous organizations or decentralized unincorporated nonprofit associations.
The new legal language specifies that the registered agent's responsibilities include maintaining the names and addresses of the owners unless the entity qualifies for one of the outlined exceptions. The bill is set to take effect on July 1, 2026.
