This bill amends existing laws regarding the administrative dissolution, revocation, and forfeiture of corporations, partnerships, and associations in Wyoming. It introduces new grounds for these actions, specifically addressing the provision of false or fraudulent information to registered agents. The bill adds a new subparagraph (D) to several sections, including W.S. 17-16-1420, 17-16-1530, 17-19-1420, 17-19-1530, 17-29-705, and 17-30-904, which states that a corporation or entity may be subject to administrative action if it has provided false or fraudulent information to the registered agent, as determined by the secretary of state during examinations of records or following notifications from the registered agent.

Additionally, the bill removes certain language that previously allowed for administrative actions based on the inability to serve the corporation or entity at its registered address. This change emphasizes the importance of accurate information being provided to registered agents, thereby enhancing the accountability of corporations and partnerships in Wyoming. The effective date for this act is set for July 1, 2025.
