A BILL
for
1 AN ACT relating to registered offices and agents;
2 authorizing the secretary of state to release confidential
3 information maintained by registered agents as specified;
4 and providing for an effective date.

6 Be It Enacted by the Legislature of the State of Wyoming:

8 Section 1. W.S. 17-28-108(c) is amended to read:

1 (c) The secretary of state shall hold any records
2 obtained pursuant to this section confidential except for
3 information already on file with the secretary of state as
4 part of a public document and information required to be in
5 the annual report required by W.S. 17-16-1630(a). The
6 secretary of state may release any such confidential
7 information only pursuant to court ordered subpoena, or to
8 a bona fide law enforcement agency for use in a criminal
9 investigation or to a county assessor or county treasurer.

15 The Committee may wish to consider whether to specify the
16 manner in which county assessors and county treasurers must
17 request the information. For example:

19 • "or, upon request, to a county assessor or county
20 treasurer"
21 • "or, upon written request, to a county assessor or
22 county treasurer"
23 • "or, upon written application, to a county assessor or
24 county treasurer"

26 In addition, the Committee may wish to consider whether to
27 include a qualifier regarding the purpose for which county
28 assessors and county treasurers may obtain the information.
29 For example:

31 • "for a valid governmental purpose"
32 • "for use in fulfilling the obligations of their
33 office"

1 • "if the county assessor or county treasurer shows
2 sufficient reason to obtain the information for
3 official business"

5 Finally, the Committee may wish to consider whether to
6 require county assessors and county treasurers to keep the
7 information obtained confidential and whether to specify a
8 penalty for failing to do so.

10 For example, under W.S. 39-3-102(q), all taxpayer returns
11 and return information is confidential. Returns and return
12 information may be released to specified persons but those
13 persons must sign an agreement to keep the information
14 confidential, and there is a misdemeanor penalty for
15 negligently or intentionally violating the confidentiality
16 requirement.

18 (q) Confidentiality. The following shall
19 apply:
20
21 (iii) Any person receiving information
22 pursuant to paragraph (ii) of this subsection
23 shall sign an agreement with the department to
24 keep the information confidential;
25
26 (v) Any person who negligently
27 violates the provisions of this subsection is
28 guilty of a misdemeanor and upon conviction shall
29 be fined not more than one thousand dollars
30 ($1,000.00). Any person who intentionally
31 violates the provisions of this subsection is
32 guilty of a misdemeanor and upon conviction shall
33 be fined not less than one thousand dollars
34 ($1,000.00), but not more than five thousand
35 dollars ($5,000.00) and imprisoned for not more
36 than one (1) year.
