A BILL
for
1 AN ACT relating to corporations, partnerships and
2 associations; requiring corporations and limited liability
3 companies to file a form with the secretary of state as
4 specified; requiring rulemaking; specifying applicability;
5 and providing for effective dates.

7 Be It Enacted by the Legislature of the State of Wyoming:
8
9 Section 1. W.S. 17-16-1630(a) and (c) and
10 17-29-209(a) and (c) are amended to read:
11
12 17-16-1630. Filing of reports and payment of tax
13 required; amount of tax; exemptions; records.

15 (a) Every corporation organized under the laws of
16 this state and every foreign corporation which obtains the

1 right to transact and carry on business within this state
2 (except banks, insurance companies and savings and loan
3 associations) shall file with the secretary of state on or
4 before the first day of the month of registration of every
5 year a certification, under the penalty of perjury, by its
6 treasurer or other fiscal agent setting forth its capital,
7 property and assets located and employed in the state of
8 Wyoming as calculated on a form prescribed by the secretary
9 of state that shall be filed concurrently with the
10 certification. The statement shall give the names and
11 addresses of its officers and directors and the address of
12 its principal office. On or before the first day of the
13 month of registration of every year the corporation shall
14 pay to the secretary of state in addition to all other
15 statutory taxes and fees a license tax based upon the sum
16 of its capital, property and assets reported, of sixty
17 dollars ($60.00) or two-tenths of one mill on the dollar
18 ($.0002), whichever is greater.

20 (c) Financial information in the annual report and
21 any information provided on the form prescribed by the
22 secretary of state filed concurrently shall be current as
23 of the end of the corporation's fiscal year immediately

1 preceding the date the annual report is executed on behalf
2 of the corporation. All other information in the annual
3 report shall be current as of the date the annual report is
4 executed on behalf of the corporation.

6 17-29-209. Annual report for secretary of state.

8 (a) Every limited liability company organized under
9 the laws of this state and every foreign limited liability
10 company which obtains a certificate of authority to
11 transact and carry on business within this state shall file
12 with the secretary of state on or before the first day of
13 the month of organization of every year a certification,
14 under the penalty of perjury, by its treasurer or other
15 fiscal agent setting forth its capital, property and assets
16 located and employed in the state of Wyoming as calculated
17 on a form prescribed by the secretary of state that shall
18 be filed concurrently with the certification. The statement
19 shall give the address of its principal office. On or
20 before the first day of the month of organization of every
21 year the limited liability company or foreign limited
22 liability company shall pay to the secretary of state in
23 addition to all other statutory taxes and fees a license

1 fee based upon the sum of its capital, property and assets
2 reported, of sixty dollars ($60.00) or two-tenths of one
3 mill on the dollar ($.0002), whichever is greater.

15 Section 2. This act shall apply to annual reports
16 filed on and after July 1, 2024.

18 Section 3. The secretary of state shall promulgate
19 all rules necessary to implement this act.

3 (a) Except as otherwise provided in subsection (b) of
4 this section, this act is effective July 1, 2024.
5
6 (b) Sections 3 and 4 of this act are effective
7 immediately upon completion of all acts necessary for a
8 bill to become law as provided by Article 4, Section 8 of
9 the Wyoming Constitution.
