The bill, S.B. No. 2791, amends Chapter 1202 of the Government Code to introduce Section 1202.0035, which mandates the electronic submission and delivery of public securities and related records to the attorney general. This new section defines "electronic" and "electronic signature" in accordance with existing definitions in the Business & Commerce Code. It requires issuers to submit documents such as public securities, records of proceedings, and credit agreements in an electronic format, accompanied by an electronic signature when applicable. Additionally, the attorney general is required to deliver certain documents to the comptroller in an electronic format as well.
The bill also stipulates that by December 1, 2025, the attorney general must inform relevant legal authorities about the new electronic submission requirements and any procedural changes necessary for the efficient processing of these submissions. The provisions of Section 1202.0035 will only apply to submissions made after the effective date of the Act, which is set for January 1, 2026. Any submissions made prior to this date will continue to be governed by the existing laws in effect at that time.
