H.B. No. 4395 amends Chapter 1202 of the Government Code by adding Section 1202.0035, which mandates the electronic submission and delivery of public securities and related documents to the attorney general. This new section defines "electronic" and "electronic signature" in accordance with existing law and requires issuers to submit documents such as public securities, records of proceedings, and credit agreements in an electronic format, accompanied by an electronic signature when applicable. Additionally, the attorney general is required to deliver certain documents to the comptroller in an electronic format.

The bill also stipulates that the attorney general must provide guidance to legal authorities regarding the new electronic submission requirements by December 1, 2025, and clarifies that the new electronic submission rules will only apply to documents submitted on or after the effective date of the Act, which is January 1, 2026. Any submissions made prior to this date will continue to be governed by the previous laws in effect at the time of submission.
