Present law requires for-profit corporations, foreign corporations, nonprofit corporations, LLCs, limited partnerships, and foreign limited partnerships to continuously maintain in this state a registered agent, who may be: (1) An individual who resides in this state and whose business office is identical with the registered office; (2) A domestic corporation or not for profit domestic corporation whose business office is identical with the registered office; or (3) A foreign corporation or not for profit foreign corporation authorized to transact business in this state whose business office is identical with the registered office. This bill replaces the qualifications for a registered agent to a registered agent who maintains an office at the same street address as the registered corporate office in this state, and who may be: (1) An individual who resides in this state, a domestic corporation, a not-for-profit domestic corporation, a domestic LLC, or a domestic registered limited liability partnership; or (2) A foreign corporation, a not-for-profit foreign corporation, a foreign LLC, or a foreign registered limited liability partnership that is authorized to transact business in this state. ON MARCH 9, 2023, THE SENATE ADOPTED AMENDMENT #1 AND PASSED SENATE BILL 1174, AS AMENDED. AMENDMENT #1 rewrites the qualifications for a registered agent of a for-profit corporation, foreign corporation, nonprofit corporation, LLC, limited partnership, limited liability partnership, and foreign limited partnership to a registered agent who maintains an office at the same street address as the registered corporate office in this state, and who may be:(1) An individual who resides in this state, a domestic corporation, a not-for-profit domestic corporation, a domestic LLC, a domestic general partnership, a domestic limited partnership, or a domestic registered limited liability partnership; or (2) A foreign corporation, a not-for-profit foreign corporation, a foreign LLC, a foreign general partnership, a foreign limited partnership, or a foreign registered limited liability partnership that is authorized to transact business in this state.
