7 An Act relating to the Oklahoma Limited Liability
7 Company Act; amending 18 O.S. 2021, Section 2006,
8 which relates to execution of articles; requiring
8 manager signature on certain articles; and providing
9 an effective date.

12 BE IT ENACTED BY THE PEOPLE OF THE STATE OF OKLAHOMA:

13 SECTION 1. AMENDATORY 18 O.S. 2021, Section 2006, is
13
14 amended to read as follows:
14
15 Section 2006. A. Articles required by this act to be filed
15
16 with the Office of the Secretary of State shall be executed in the
16
17 following manner:
17
18 1. Articles of organization must be signed by at least one
18
19 person who need not be a member of the limited liability company;
19
20 and
20
21 2. Articles of amendment, registered series, merger,
21
22 consolidation, conversion, division, or dissolution must be signed
22
23 by a manager.

 1 B. Any person may sign any articles by an attorney in fact. A
1
2 person who executes articles as an attorney-in-fact, agent or
2
3 fiduciary is not required to exhibit evidence of his or her
3
4 authority as a prerequisite to filing.
4
5 C. The execution of any articles under this act constitutes an
5
6 affirmation under the penalties of perjury that the facts stated
6
7 therein are true.

8 D. Any signature on articles or any other instrument authorized
8
9 by this act may be a facsimile signature, a conformed signature or
9
10 an electronically transmitted signature.

11 SECTION 2. This act shall become effective November 1, 2023.
