This bill amends section 21-193 of the Nebraska Uniform Limited Liability Company Act, specifically addressing the publication requirements for notices related to the organization, amendment of the certificate of organization, merger, conversion, domestication, or dissolution of limited liability companies. The bill stipulates that such notices must be published for three successive weeks in a legal newspaper of general circulation near the company's designated office. Additionally, it requires that a brief resume of any amendments or changes be published in the same manner and timeframe as the initial notice of organization.
The bill also clarifies that when a limited liability company is voluntarily dissolved, notice of the dissolution must be published as required by another section of the law. Furthermore, it establishes that proof of publication must be filed with the Secretary of State, and if a required notice is not initially given but is published later, the acts of the company before and after the publication will still be considered valid. The original section 21-193 is repealed as part of this amendment.
