1 A BILL FOR AN ACT relating to the Nebraska Uniform Limited Liability
2 Company Act; to amend section 21-193, Reissue Revised Statutes of
3 Nebraska; to change provisions relating to publication of notice of
4 organization, amendment of certificate of organization, merger,
5 conversion, domestication, or dissolution; and to repeal the
6 original section.
7 Be it enacted by the people of the State of Nebraska,

1 Section 1. Section 21-193, Reissue Revised Statutes of Nebraska, is
2 amended to read:
3 21-193 (1) Notice of organization, amendment of the certificate of
4 organization, merger, conversion, or domestication must be published for
5 three successive weeks in a some legal newspaper of general circulation
6 near the designated office of the limited liability company. A notice of
7 organization must show the information required by subsection (b) of
8 section 21-117 to be stated in the certificate of organization. A brief
9 resume of any amendment of the certificate of organization or of any
10 merger, conversion, or domestication of the limited liability company
11 shall be published in the same manner and for the same period of time as
12 notice of organization is required to be published.
13 (2) Whenever a any limited liability company is voluntarily
14 dissolved, notice of the dissolution shall be published as required by
15 section 21-150.
16 (3) Proof of publication of any of the notices shall be filed in the
17 office of the Secretary of State. In the event any notice described in
18 subsection (1) of this section and required to be given pursuant to this
19 section is not given, but is subsequently published for the required
20 time, and proof of the publication thereof is filed in the office of the
21 Secretary of State, the acts of the limited liability company prior to,
22 as well as after, such publication shall be valid.
23 Sec. 2. Original section 21-193, Reissue Revised Statutes of
24 Nebraska, is repealed.
