Enclosed for consideration and approval by the Council of the District of Columbia is an
emergency bill, the "Modification Nos. 14, 14A, 14b, 14c, and 15 to Contract No. CW92308 with
Universal Healthcare Management Services, Inc., Approval and Payment Authorization
Emergency Act of 2024," and the accompanying emergency declaration resolution.
The legislation will approve Modification Nos. 14, 14A, 14b, 14c, and 15 to Contract No.
CW92308 with Universal Healthcare Management Services, Inc., for group home services for
District youth, to fully exercise option year three of the contract. In addition, this legislation will
approve payment for the goods and services received and to be received under the modification.

20 BE IT ENACTED BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That this
21 act may be cited as the "Modification Nos. 14, 14A, 14b, 14c, and 15 to Contract No. CW92308
22 with Universal Healthcare Management Services, Inc., Approval and Payment Authorization
23 Emergency Act of 2024".
24 Sec. 2. Pursuant to section 451 of the District of Columbia Home Rule Act, approved
25 December 24, 1973 (87 Stat. 803; D.C. Official Code§ 1-204.51), and notwithstanding the
26 requirements of section 202 of the Procurement Practices Reform Act of 2010, effective April 8,
27 2011 (D.C. Law 18-371; D.C. Official Code§ 2-352 .02), the Council approves Modification
28 Nos. 14, 14A, 14b, 14c, and 15 to Contract No. CW92308 with Universal Healthcare
29 Management Services, Inc. , and authorizes payment in the not-to-exceed amount of $1,358,530
30 for the goods and services received and to be received under the modifications.
31 Sec. 3. Fiscal impact statement.
32 The Council adopts the fiscal impact statement of the Chief Financial Officer as the fiscal
33 impact statement required by section 4a of the General Legislative Procedures Act of 1975,
34 approved October 16, 2006 (120 Stat. 2038; D.C. Official Code § 1-301.47a).
35 Sec. 4. Effective date.
36 This act shall take effect following approval by the Mayor (or in the event of veto by the
37 Mayor, action by the Council to override the veto), and shall remain in effect for no longer than
38 90 days, as provided for emergency acts of the Council of the District of Columbia in section
39 412(a) of the District of Columbia Home Rule Act, approved December 24, 1973 (87 Stat. 788;
40 D.C. Official Code § 1-204.12(a)).

Care Agreement (HCA)
Term of Contract: July 14, 2024, through July 13, 2025
Option Year Three
Type of Contract: This is a human care agreement (HCA) with fixed unit
rates. The Contractor will be compensated on
two payment components: 1. A daily rate based on
youth placement up to a maximum of 8 youths and
2. A daily administrative rate based on maximum
capacity.

In Option Year 1, a 5% increase from the base price is incorporated to accommodate inflation.

In Option Year 3, the 35% increase reflects two significant changes: an increase in the number of
youths served from 6 to 8, and the inclusion of inflation adjustments.
Option Period 4 Amount: NTE $1,426,449.20
Explanation of difference from base period (if applicable):
In Option Year 4, the 38% increase reflects two significant changes: an increase in the number of
youths served from 6 to 8, and the inclusion of inflation adjustments.
(C) The goods or services to be provided, the methods of delivering goods or services, and any
significant program changes reflected in the proposed contract:
The Department of Youth Rehabilitation Services (DYRS) serves male and female youths between
the ages of 12 and 21 who have been remanded to its temporary custody by the D.C. Superior
Court. DYRS's mission is to improve public safety and give court-involved youth the opportunity
to become more productive citizens by building on the strengths of the youth and their families in
the least restrictive, most homelike environment.
Universal Healthcare Management Services (UHMS) will provide group homes for male and
female youth between the ages of 12 and 21 who have been remanded to its temporary custody by
the D.C. Superior Court. The use of group homes will allow District youth to live in a home-like
environment with structured and supervised care. These homes provide enriched, culturally
sensitive services, including recreational, rehabilitative, educational, mental health, medical,
recreational, aftercare supervision, residential placements, independent living, and
mentoring/monitoring support in a nurturing and structured environment for the youth.
Each youth’s length of stay varies based on the youth’s ISP/Success Plan. Programming shall be
gender specific, culturally sensitive, language-appropriate, and tailored to fit the needs of referred
youth. Services shall address the balanced and restorative justice principles of public safety,
accountability, and competency development. These support services are also expected to result in
helping to meet DYRS's goal for its community-based services where youths will meet 90% of
scheduled court appearances, 75% of participants will not be re-arrested; and the abscondence rate
will be below 5%.
(D) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance components:
A Request for Qualification DOC547032 was issued via PASS on February 4, 2021, with a closing
date of February 25, 2021. Four responses were received in response to the solicitation. On March
17, 2021, the Contractor Qualification Records (CQR) were distributed to the DYRS technical
evaluation team consisting of Bruce Wright, James McCrae, and Sameka Powell. Bruce Wright
served in the capacity of Chairperson.

On May 10, 2021, the consensus meeting was held. The technical team determined Universal was
qualified to provide the required services and on May 17, 2021, the CO concurred with the
technical team and deemed them qualified. On July 14, 2021, the CO issued CW92308.
(E) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District. Include the identity of the protestor, the grounds
alleged in the protest, and any deficiencies identified by the District as a result of the protest:
None
(F) A description of any other contracts the proposed contractor is currently seeking or holds
with the District:
The provider has no other contracts or pending contracts with the District.
(G) The background and qualifications of the proposed contractor, including its organization,
financial stability, personnel, and performance on past or current government or private
sector contracts with requirements similar to those of the proposed contract:
UHMS currently provides services to male and female youths in the District of Columbia’s Group
Home Services program. The program is designed to allow young people between the ages of 12
and 21 who are pre-adjudicated or adjudicated in the District of Columbia’s juvenile justice system,
to live in a home-like environment with structured and supervised care and support services needed
to become more productive citizens.
UHMS has been performing services under HCA CW92308 for the past four years. Universal
Healthcare Management has demonstrated it has the capability and financial stability as evidenced
by the provider’s financial history as reported by Dun and Bradstreet's report dated June 27, 2024,
and qualified personnel to perform the required services as evidenced by their satisfactory
performance rating obtained on May 2, 2024.
(H) A summary of the subcontracting plan required under section 2346 of the Small, Local, and
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended,
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the subcontracting
plan meets the minimum requirements of the Act and the dollar volume of the portion of the
contract to be subcontracted, expressed both in total dollars and as a percentage of the total
contract amount:
UHMS is a Certified Business Enterprise under the District’s Department of Small and Local
Business Development and is self-performing.
(I) Performance standards and the expected outcome of the proposed contract:

The District expects UHMS to continue providing services to the District’s youths who are in
the custody of the District’s juvenile justice system. In Section C.17 of HCA CW92308, the District
outlined the required deliverables that the provider is responsible for providing. The goal of this
program is to provide homelike environmental accommodations with structured and supervised care
and community-based support services to court-involved youth, in lieu of confinement at New
Beginnings Youth Development Center.
(J) The amount and date of any expenditure of funds by the District pursuant to the contract
prior to its submission to the Council for approval:
Modification M0014-Partial Option in the not-to-exceed amount of $338,702
Modification M0014c-Extend POP for the Partial in the not-to-exceed amount of $354,830.67
(K) A certification that the proposed contract is within the appropriated budget authority for the
agency for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:
The Associate Chief Financial Officer certified that the funds are available in the budget.
(L) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:
The Office of the Attorney General has determined this contract to be legally sufficient.
Universal Healthcare Management, Inc. does not currently have any pending legal claims against
the District.
(M) A certification from that Citywide Clean Hands database indicates that the proposed
contractor is current with its District taxes. If the Citywide Clean Hands Database indicates
that the proposed contractor is not current with its District taxes, either: (1) a certification
that the contractor has worked out and is current with a payment schedule approved by the
District; or (2) a certification that the contractor will be current with its District taxes after
the District recovers any outstanding debt as provided under D.C. Official Code § 2-
353.01(b):
The Citywide Clean Hands database indicates that the contractor is current with its District taxes, as
of October 30, 2024.
(N) A certification from the proposed contractor that it is current with its federal taxes, or has
worked out and is current with a payment schedule approved by the federal government:
Based on information contained in the Bidder Offeror certification form dated May 30, 2024,
UHMS has certified that it is current with its federal taxes.
(O) A certification that the proposed contractor has been determined not to be in violation of
section 334a of the Board of Ethics and Government Accountability Establishment and

Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official Code § 1-1163.34a; and
(2) A certification from the proposed contractor that it currently is not and will not be in
violation of section 334a of the Board of Ethics and Government Accountability
Establishment and Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official
Code § 1-1163.34a:
A. The Universal Healthcare Management Services certifies that they are compliant with the
campaign finance Board of Ethics and Government Accountability Establishment and
Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official Code § 1-1163.34a
B. The Universal Healthcare Management Services will comply and will not be in violation of
section 334a of the Board of Ethics and Government Accountability Establishment and

on October 23, 2024, Universal Healthcare Management, Inc. is not debarred or suspended from
Federal or District procurements.
