A RESOLUTION

To declare the existence of an emergency with respect to the need to approve
Modification Nos. 13 and 14 to Contract No. NFPHC-NSD-21-C-00027 between
the Not-for-Profit Hospital Corporation, commonly known as United Medical
Center, and Amergis Healthcare Staffing Inc. (formerly Maxim Healthcare
Staffing Services Inc.) to provide nurses in the emergency department, ICU, and
telemetry units services and to authorize payment for the services received and to
be received under the contract.
RESOLVED, BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That
this resolution may be cited as the “Modification Nos. 13 and 14 to Contract NFPHC-
NSD-21-C-00027 between the Not-for-Profit Hospital Corporation and Amergis
Healthcare Staffing Inc. Approval and Payment Authorization Emergency Declaration
Resolution of 2024”.
Sec. 2. (a) There exists an immediate need to approve Modification Nos. 13 and
14 to Contract No. NFPHC-NSD-21-C-00027 (“Contract”) between the Not-for-Profit
Hospital Corporation (“Hospital”) and Amergis Healthcare Staffing Inc. (formerly
Maxim Healthcare Staffing Services Inc) to provide nurses in the emergency department,
ICU, and telemetry units services, and to authorize payment for the services received and
to be received under the Contract.
(b) The Council approved the Base Year Contract (Modification Nos. 1 and 2) on
June 29, 2021, for a total retroactive value of $3,500,000 (A24-115).
(c) The Council approved Option Year One (Modification Nos. 5 through9) on
November 1, 2022, for a total retroactive value of $6,259,863.02 (A24-653).
(d) The Council approved Option Year 2 (Modification Nos.10 and 11) on June 6,
2023, for a total retroactive value of $3,425,000 (A25-127).
(e) On February 6, 2024, the Council approved Modification No. 12, which
exercised Option Year 3 for the period December 10, 2023, through December 9, 2024,
in the amount of $3 million (A25-401).
(f) Proposed Modification No. 13 increases the value of Option Year 3 by $6
million, for a total not-to-exceed amount of $9 million. Council approval is necessary
because the proposed modification exceeds $1 million in a 12-month period.

(g) Proposed Modification No. 14 would partially exercise Option Year 4 for the
period December 10, 2024, through March 31,2025, in the amount of $3,200,000.
Council approval is necessary because the proposed modification has an aggregate value
that exceeds $1 million in a 12-month period.
(h) Without Council approval, Amergis Healthcare Staffing Inc. cannot be paid
for these critical services provided and to be provided in excess of $1 million.
Sec. 3. The Council determines that the circumstances enumerated in section 2
constitute emergency circumstances making it necessary that the Modification Nos. 13
and 14 to Contract NFPHC-NSD-21-C-00027 between the Not-for-Profit Hospital
Corporation and Amergis Healthcare Services, Inc. Approval and Payment Authorization
Emergency Act of 2024 be adopted after a single reading.
Sec. 4. This resolution shall take effect immediately.
