To declare the existence of an emergency with respect to the need to approve Contract
Modification Nos. 4, 5, and 6 to Contract No. NFPHC-MS-22-C-00043 between the Not-
for-Profit Hospital Corporation, commonly known as United Medical Center, and
Amergis Healthcare Staffing Inc. (formerly Maxim Healthcare Staffing Services Inc.) for
the provision of supplemental respiratory therapist staffing services, and to authorize
payment for services received and to be received under the contract.
RESOLVED, BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That this
resolution may be cited as the “Modification Nos. 4, 5, and 6 to Contract NFPHC-MS-22-C-
00043 between the Not-for-Profit Hospital Corporation and Amergis Healthcare Staffing Inc.
Approval and Payment Authorization Emergency Declaration Resolution of 2024”.
Sec. 2. (a) There exists an immediate need to approve Modification Nos. 4, 5, and 6 to
Contract No. NFPHC-MS-22-C-00043 (“Contract”) between the Not-for-Profit Hospital
Corporation (“Hospital”) and Amergis Healthcare Staffing Inc. (formerly Maxim Healthcare
Staffing Services Inc.) for the provision of supplemental respiratory therapist staffing services
and to authorize payment for the services received and to be received under the contract.
(b) On October 25, 2023, the Hospital entered into Modification No. 4 at a value of
$500,000 for the period of October 11, 2023 through October 10, 2024, as it explored less costly
available alternatives, such as contracting with multiple vendors for this service.
(c) As research continued for possible staffing alternatives, more funds were needed to
meet staffing demands so the parties entered into Modification No. 5 on April 24, 2024, for an
additional $400,000 for the period of October 11, 2023 through October 10, 2024.
(d) Ultimately, it was not feasible for the Hospital to generate savings through an
alternative staffing model, and thus it needs to submit proposed Modification No. 6 to meet the
annual demand under the current staffing model with this vendor. The combined value of these
modifications is $1.8 million.
(e) Council approval is necessary because option year 2 has an aggregate value that
exceeds $1 million in a 12-month period.
(f) Without Council approval, Amergis Healthcare Staffing, Inc. cannot be paid for these
critical services provided and to be provided in excess of $1 million.

Sec. 3. The Council determines that the circumstances enumerated in section 2 constitute
emergency circumstances making it necessary that the Modification Nos. 4, 5, and 6 to Contract
NFPHC-MS-22-C-00043 between the Not-for-Profit Hospital Corporation and Amergis
Healthcare Staffing Inc. Approval and Payment Authorization Emergency Act of 2024 be
adopted after a single reading.
Sec. 4. This resolution shall take effect immediately.
