A RESOLUTION

IN THE COUNCIL OF THE DISTRICT OF COLUMBIA

To declare the existence of an emergency with respect to the need to approve Modification No. 1
to Contract No. NFPHC-MS-23-C-00054 between the Not-for-Profit Hospital
Corporation, commonly known as United Medical Center, and Northrium Health LLC,
for the provision of anesthesia and vascular access services, and to authorize payment for
the services received and to be received under the contract .
RESOLVED, BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That this
resolution may be cited as the “Modification No. 1 to Contract NFPHC-MS-23-C-00054
between the Not-for-Profit Hospital Corporation and Northrium Health LLC, Approval and
Payment Authorization Emergency Declaration Resolution of 2024”.
Sec. 2. (a) There exists an immediate need to approve Modification No. 1 to Contract No.
NFPHC-MS-23-C-00054 (“Contract”) between the Not-for-Profit Hospital Corporation
(“Hospital”) and Northrium Health LLC, for the provision of anesthesia and vascular access
services and to authorize payment for the services received and to be received under the contract.
(b) The base year agreement was previously approved by the Council in the amount of
$1,810,430.96 for the period of August 1, 2023 through July 31, 2024 (CA25-327).
(c) With services winding-down at the Hospital, it is taking an extended period of time to
negotiate financial terms with vendors to meet the Hospital’s staffing needs, especially in light of
nationwide and regional shortages in health professional services.
(d) The Hospital through Modification No. 1 exercised 8 months of option year one, for
the period August 1, 2024 through March 31, 2025, for $1,025,910.99 to ensure uninterrupted
anesthesia and vascular access services.
(e) Council approval is necessary because the aggregate value will exceed $1 million in a
12-month period.
(f) Without Council approval, Northrium Health LLC cannot be paid for these critical
services provided and to be provided in excess of $1 million.
Sec. 3. The Council determines that the circumstances enumerated in section 2 constitute
emergency circumstances making it necessary that Modification No. 1 to Contract NFPHC-MS-
23-C-00054 between the Not-for-Profit Hospital Corporation and Northrium Health LLC.
Approval and Payment Authorization Emergency Act of 2024 be adopted after a single reading.
Sec. 4. This resolution shall take effect immediately.
