Pursuant to D.C. Official Code §1-204.51(b) (2) (A) and enclosed for consideration by
the Council of the District of Columbia is a proposed Indefinite Delivery/Indefinite
Quantity contract option for $1,100,000.00 with Baker & Taylor, LLC to provide books,
materials, and selected services. This contract will enable the DC Public Library (DCPL)
to purchase processed shelf-ready books, print and digital content, materials, and selected
services for the twenty-six (26) libraries that make up the DCPL system and the DC
Public Schools libraries. The contract period of performance will be from October 1,
2024, through September 30, 2025.

 DCPL seeks approval of Option Year Two with a maximum contract ceiling of
$1,100,000.00 from October 1, 2024, through September 30, 2025.
(C) A statement that the Citywide Clean Hands database indicates that the
proposed contractor is current with its District taxes. If the Citywide Clean
Hands Database indicates that the proposed contractor is not current with its
District taxes, either: (1) a certification that the contractor has worked out and
is current with a payment schedule approved by the District; or (2) a
certification that the contractor will be current with its District taxes after the
District recovers any outstanding debt as provided under D.C. Official Code
§ 2-353.01(b):

The District of Columbia Public Library (DCPL), Office of the Chief Financial Officer (OCFO),
certifies available FY 2025 funding (subject to budget appropriation and availability) in the amount
of $1,100,000 to support Option Year 2 (October 1, 2024 through September 30, 2025) for
Contract No. DCPL-2022-C-0027A with Baker & Taylor, LLC.
The FY 2025, Option Year 2, Contract No. DCPL-2022-C-0027A with Baker & Taylor, LLC. is
to purchase new materials for adults, teens and children throughout the 26 libraries that make up
the DC Public Library system and the DC Public School (DCPS) system libraries, via a
Memorandum of Understanding as part of the shared technical services initiative between DCPL
and DCPS. The contract supports the purchase of new and popular books, electronic materials,
collection redevelopment and replacements, and programmatic initiatives support, as well as
selection tools, physical processing, and cataloging.
The proposed contract amount is over $1 million and, therefore, requires Council approval.

1. Description of proposed contract
The proposed contract DCPL-2022-C-0027A (Option Year Two) (or hereinafter referred to as
“Contract”) is for an Indefinite Delivery/Indefinite Quantity contract for books, materials and selected
services for the District of Columbia Public Library (“DCPL”) for the FY-25 fiscal year.

Baker and Taylor, LLC, upon orders placed by the DCPL Collections Department, will furnish and
deliver books, materials, and selected services as needed for DCPL and as requested by authorized
DC Public Schools (DCPS) officials.
Baker and Taylor, LLC has experience providing the same services to DCPL for over eighteen (18)
years as well as other state and local governments. In addition, Baker and Taylor, LLC has complied
with all contractor responsibility standards as required by law and regulation.
It is necessary at this time that the Council approve Over-Million Dollar Contract No.: DCPL-
2022-C-0027A (Option Year Two). DCPL seeks Council approval for this proposed contract with
a maximum contract ceiling not to exceed $1,100,000.00 for Option Year Two with Baker and
Taylor, LLC. from October 1, 2024 through September 30, 2025.
By Funding Certification dated July 17, 2024, the District of Columbia Public Library (DCPL),
Office of the Chief Financial Officer (OCFO) certifies available funding for Contract No. DCPL-
2022-C-0027A with Baker and Taylor, LLC for FY-25 to support Option Year Two from October 1,
2024 through September 30, 2025. See Funding Certification.
The Agency has received the Certificate of Clean Hands for Baker and Taylor, LLC, dated August 12,
2024, certifying compliance with the District of Columbia tax laws and regulations. The Director of
Procurement has ensured that Baker and Taylor, LLC is not listed on OCP’s Excluded Parties listing
as of April 25, 2024 nor the Federal Government’s SAM’s database as excluded as of July 15, 2024,
which certifies that the vendor is not currently debarred from providing services or goods to the
District of Columbia.
I also certify that Baker and Taylor, LLC does not have any pending litigation or claims with the
District of Columbia.
2. Procurement Process
DCPL, on March 16, 2022, requested a waiver from the Department of Small and Local Business
Development (DSLBD) of the 35% set-aside subcontracting requirement for the base year period
October 1, 2022, through September 30, 2023.

A copy of the Request for Proposals (RFP) was posted on the DSLBD website for review and
comment by the CBE community before issuance of the solicitation and no comments were received.
On April 5, 2022, DCPL received approved Waiver No. WR-3805 from DSLBD.
On April 14, 2022, DCPL issued the RFP in the open market for multiple contractors to furnish and
deliver processed shelf-ready books, print and digital content, materials, and selected services to
DCPL and DCPS on an as-needed basis.
The RFP was advertised in the Washington Post and posted on the DCPL website on April 14, 2022.
Two (2) amendments were issued during the RFP process. On the RFP due date, May 27, 2022, the
DCPL Office of Procurement received proposals from ten (10) Offerors in response to the
solicitation. No certified businesses enterprises (CBEs) responded to the solicitation.

The DCPL Chief Procurement Officer (CPO) and Collections Director established a Technical
Evaluation Panel (TEP) consisting of three (3) individuals to review and score the proposals.

All members of the TEP signed disclosure forms. Each member of the TEP independently reviewed
the proposals and each voting member of the panel was provided with a score sheet for each of the
Offerors. Copies of the individual score sheets were given to the DCPL CPO and are on file with the
Procurement Office.

The panel members evaluated the proposals according to the criteria described in the solicitation.
Evaluators used a 100-point scale consisting of the following evaluation criteria to evaluate proposals:
(i) Project Approach (0 – 40 points); (ii) Relevant Experience and Past Performance (0 – 30 points);
and (iii) Price (0 – 30 points). Offerors could receive up to 70 points for “Technical” and 30 points for
“Price.”

Solutions, LLC, Mackin Educational Resources and Perma-Bound Books can furnish the books and
materials required for DCPS. Also, Capstone received the 9th lowest technical score.
On June 13, 2022, after individual and consensus scoring and discussions the TEP and CPO agreed
that awarding contracts to the eight (8) Offerors shown below would give both agencies the flexibility
to purchase through DCPL, a variety of new books, print and digital content, materials and selected
services from some of the leading distributors and major wholesalers to retailers worldwide. DCPS
officials were informed of the decision and concurred with the eight (8) selected Offerors.

Price scores were evaluated by DCPL and the CPO in accordance with the formula specified in Section M,
Paragraph M.2.3 of the RFP. Offerors presented a wide range of discounts and pricing based on their status
as a leading distributor of books, video and music products to libraries, institutions and retailers, versus
smaller distributors of specialty type collection materials such as audiobooks only, foreign language books
only, etc. This contributed to the disparity in the price scores. However, after careful review of pricing, the
CPO with input from the TEP Chair determined it would be more advantageous for DCPL to take advantage
of the variety, discounts and pricing offered by all of the eight (8) Offerors, thus resulting in a better
selection of collections materials for DCPL and DCPS patrons. Also, to determine price scores for
evaluation purposes the CPO reviewed and scored pricing for the value-added services.

Both DCPL and DCPS agreed that awarding contracts to the eight (8) Offerors would give both
agencies the flexibility to purchase through DCPL a variety of new books, print and digital content,
materials and selected services from some of the leading distributors and major wholesalers to
retailers worldwide.

Accordingly, DCPL sought and received Council approval for a maximum contract ceiling NTE
$1,100,000.00 for a base year and four (4) option years with Baker and Taylor, LLC. Council
approved the base period contract with Baker and Taylor, LLC on October 15, 2022. Council
approved the Option Year One contract with Baker and Taylor, LLC for $1,200,000.00 on September
3, 2023.
3. Legal Review
On August 12, 2024, I received the request for legal sufficiency review and approval for the
proposed over-million dollar contract with a maximum contract ceiling not to exceed
$1,100,000.00 for Option Year Two from October 1, 2024 through September 30, 2025 with Baker
and Taylor, LLC. to provide books, materials, and selected services, Contract No. DCPL-2022-C-
0027A. I have reviewed the supporting contract documentation to support the requested Council
approval and the term period from October 1, 2024 through September 30, 2025. Based on the above,
I approve the proposed Council package for legal sufficiency of an over-million dollar contract with a
maximum contract ceiling not to exceed $1,100,000.00 for Option Year Two and request that the
term of the contract be approved from October 1, 2024 through September 30, 2025.
I note that in accordance with D.C. Official Code §2-352.02(a), the Executive Director must submit to
the Council for approval this contract action for over-million dollar and/or multiple years.
