204.51) and section 202ofthe Procurement Practices Reform Act of 2010 (D.C. Official Code §
2-352.02), enclosed for consideration and approval by the Councilofthe District of Columbia is
proposed definitive Human Care Agreement (“HCA”) No. CW116571 with OceanPro Industries,
Ltd. (“OceanPro”) in the not-to-exceed amountof$1,664,231. The period of performance is from
May 16, 2024, through November 15, 2024.
Under the proposed HCA, OceanPro will prepare and deliver meals and supplements for the
District’s meal delivery program participants.

OceanPro will provide prepare and deliver hot/cold ready-to-eat, frozen, boxed meals, and
supplements for the District’s meal delivery program to DACL program participants in Wards 1 and
2.
The purpose of this contract is to provide people 60 years or older with a nutritious meal containing
one-third of the Dietary Reference Intakes (DRIs) as established by the Food and Nutrition Board
and meeting the current Dietary Guidelines for Americans (DGAs). The contractor must be able to
produce and deliver meals daily throughout the city and to individual seniors who live in their homes
and are unable to prepare meals for themselves and at the District community dining sites. The
District anticipates that there will be up to 2,500 District residents participating in the home-delivered
meal program, but that the number may fluctuate on a daily basis.
(G) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance components:
The solicitation, DOC590203, was advertised in the Washington Times newspaper and published in
PASS to DC Supply Schedule holders on November 30, 2021, with a closing date of January 14,
2022. Three certified business enterprise vendors submitted proposals in response to the solicitation.
In accordance with 27 DCMR § 1905.4. the contracting officer and the technical evaluation panel
reviewed and evaluated the provider’s technical competence, menus and nutrition of meals offered,
prices, resumes, professional qualifications, the relevant professional and business licenses, capacity
to accomplish the required work in the required time, experience with similar scope of work, the
contractor’s past performance and other documentation submitted by provider.
Based on the contracting officer’s independent assessment of each proposal, the contracting officer
determined that it is in the best interest of the District to award human care agreement to each of the
three offerors that submitted proposals.
(H) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District. Include the identity of the protestor, the grounds
alleged in the protest, and any deficiencies identified by the District as a result of the protest:

(I) The background and qualifications of the proposed contractor, including its organization,
financial stability, personnel, and performance on past or current government or private
sector contracts with requirements similar to those of the proposed contract:

OceanPro’s financial statements evidences that they are financially stable and has the resources to
execute the services required under the HCA.
(J) A summary of the subcontracting plan required under section 2346 of the Small, Local, and
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended,
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the subcontracting
plan meets the minimum requirements of the Act and the dollar volume of the portion of the
contract to be subcontracted, expressed both in total dollars and as a percentage of the total
contract amount:

(K) Performance standards and the expected outcome of the proposed contract:
The performance standards and expected outcome of the proposed contract include that the
contractor, in accordance with the requirements, terms and conditions of the proposed contract, will
prepare and deliver meals daily throughout the District and to individual seniors who live in their
homes and are unable to prepare meals for themselves as requested through task orders or purchase
orders by DACL.
(L) The amount and date of any expenditure of funds by the District pursuant to the contract
prior to its submission to the Council for approval:

(M) A certification that the proposed contract is within the appropriated budget authority for the
agency for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:
Per the Certification of Funding dated August 1, 2024, the agency’s Associate Chief Financial
Officer certified that funds in the required amount are available.
(N) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:
The proposed definitized human care agreement has been reviewed for legal sufficiency by the
Office of the Attorney General and has been determined to be legally sufficient.
The proposed contractor does not have any currently pending legal claims against the District.
(O) A certification that the Citywide Clean Hands database indicates that the proposed contractor
is current with its District taxes. If the Citywide Clean Hands Database indicates that the
proposed contractor is not current with its District taxes, either: (1) a certification that the
contractor has worked out and is current with a payment schedule approved by the District;

or (2) a certification that the contractor will be current with its District taxes after the District
recovers any outstanding debt as provided under D.C. Official Code § 2-353.01(b):
The Citywide Clean Hands database indicates the contractor is current with its District taxes, as of
August 12, 2024.

worked out and is current with a payment schedule approved by the federal government:
Based on information contained in the Bidder Offeror certification form, OceanPro has certified
that it is current with its federal taxes and does not have any outstanding debt to the federal
government.

enterprise as defined in the Small, Local, and Disadvantaged Business Enterprise
Development and Assistance Act of 2005, as amended, D.C. Official Code § 2-218.01 et seq.:

This is aletter contract between the District
of Columbia Office of Contractingand Procurement
(OCP), on behalf of Department of Aging and Community Living (DACL), and Ocean Pro
Industries LTD. referred toasthe Provider, wherein the Provider agrees to provide the services
tends to definitize this letter contract for Community Dining and Home-Delivered
Meals, utilizing the Provider's Proposed Offerings within (120) calendar days from date of
award, at which time this Letter Contract shall merge with the Definitized Contract. The
effective dateof this Letter Contract is May 16, 2024. Before the expiration of the 120 days, the
ContractingOfficer may authorize an additional period in accordance with District of Columbia
Municipal Regulations (DCMR) Title 27, Section 2425.9. The amount of the definitive contract
is not-to-exceed (NTE) $1,596,581 and the Letter Contract is in the NTE amount
of $800,000.00.
Ifthe District does not definitize this letter contract within 120 calendar days from date of award
orany extensions thereof, this letter contract shall expire. In the eventofexpirationofthis letter
contract, the District shall pay Provider for services performed foraNTE amount of
$800,000.00. The durationofthe base period of the definitized contract shall be one year from
date ofawardofthis letter contract. Inno event shallthe amount paid under this letter contract,
or any extensions thereof, exceed 50%ofthe total definitized contract amount.If the District
seeks to purchase supplies and/or services that are not identified in the price proposal,
‘Attachment C, the District will not issue a written purchase order under thisletter contract to
perform work until a revised quote for that work is received from the Provider.
