Dear Chairman Mendelson:
In accordance with the provisions of D.C. Official Code §2-352.02(b)(1), | am forwarding to you a
proposed multi-year contract between the University of the District of Columbia and Ellucian LLC for
emergency approval.
This emergency legislation would approve the initiation of a three-year contract for Ellucian software
and maintenance support services in the total amount of three million one hundred eighty-one
thousand four hundred and forty-three dollars ($3,181,429). The current contract expires on
September 30, 2024. The University needs the affirmative legislation approval before the Council’s
recess to avoid any break between the approval and expiration of the existing contract. The approval
of this emergency legislation will ensure continuity and support of the University’s Banner Enterprise
Resource Planning system, the institutional student and financial information system.
Attached is the “University of the District of Columbia Contract No. PO-GF-2024-P-0001-NJH with
Ellucian Company, LLC Emergency Declaration Resolution of 2024” and an Emergency Act entitled;
“University of the District of Columbia Contract No. PO-GF 2024-P-0001 with Ellucian, LLC Emergency
Approval Act of 2024” for consideration and enactment by the Council of the District of Columbia. Also
included are (1) the June 4, 2024, UDC Resolution No. 2024-20; (2) a Fiscal Impact Statement from the
University’s Chief Financial Officer; and (3) a Legal Sufficiency Statement and (4) a copy of the contract.

(C) The goods or services to be provided, the methods of delivering goods or services, and
any significant program changes reflected in the proposed contract:
Ellucian currently provides the University with its enterprise resource planning (ERP) system,
Banner, primarily through its Student Information System (SIS) and Financial Management
System (FMS) modules. The system was implemented in 2010 and has been a modern iteration
of the traditional, disjointed mainframe system. To date, the Banner system has amassed millions
of Financial, Student and some Human Resource records, all for the purpose of supporting the
University’s mission, goals, and objectives.
Switching to a new institutional ERP system would have severe impacts to the University’s
ability to continue operations, as the Banner system supports critical functionality across student
support and financial management operations throughout the University.
Additionally, moving from a base-plus-option-year model to a multi-year contract provides the
University with ongoing cost-savings, reduces administrative overhead, and promotes stability.
Current service provision, including subscription software licensing, application cloud hosting
services, and perpetual software maintenance, are all necessary for continued quality system
performance.
Ellucian is the owner of the Banner enterprise resource planning (ERP) system and currently
hosts UDC’s Banner environment via its cloud architecture. As part of that hosting relationship,
Ellucian has continually provided maintenance support to UDC as well as management of
subscription licenses.
Ellucian, as the owner of the University’s established ERP system, is uniquely qualified to
provide the requisite licensing, application hosting, and maintenance services described within
the attached scope of work.
(D) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance components:
The Exempt from Competition Purchasing Process was utilized pursuant to D.C. Official Code
§§2-354.13(4)(8)(15) and D.C.M.R. Title 8B Chapter 30 §§3005.2(f)(k)(s).
The Sole Source Purchasing Process was utilized pursuant to D.C. Official Code §§ 2-354.01(c)
and 2-354.04 and D.C.M.R. Title 8B Chapter 30 §3019.
(E) A description of any bid protest related to the award of the contract, including whether
the protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District. Include the identity of the protestor, the
grounds alleged in the protest, and any deficiencies identified by the District as a result of
the protest:

(F) The background and qualifications of the proposed contractor, including its
organization, financial stability, personnel, and performance on past or current
government or private sector contracts with requirements similar to those of the proposed
contract:
Ellucian Company LLC is an established industry leader in ERP provision for institutions of
higher education, having been in business for over fifty years, with over twenty-six hundred
(2,600) customers supporting one million eight hundred thousand end users (1.8m). Ellucian
leverages employee knowledge through the directed hiring of those with experience in the
Higher Education Field, while having simultaneously invested over one billion dollars ($1b) in
Research and Development over the last six years.
According to Dun and Bradstreet, Ellucian has over $100m in annual sales, a Low Risk
Category, and a Stable Rating Outlook. According to the Better Business Bureau, Ellucian
Company LLC has an A-plus rating.
Prices provided by the Contractor are those provided to academic institutions that have
implemented this technology and are consistent with current implementation pricing nationwide.
Ellucian Company LLC, formerly known as SunGard Higher Education, Inc. and Ellucian
Company L.P., designed its Banner solutions specifically with academic institutions in mind. Its
in-depth knowledge of the unique requirements of education organizations in general and
research universities, in particular, is unmatched.
The proposed Contractor does not have an outstanding debt with the District or Federal
Government and is not in a delinquent status according to the Clean Hands certification dated
May 15th, 2024, provided by the D.C. Office of Tax & Revenue and the Contractor's affidavit
regarding the Federal Government.
(G) A summary of the subcontracting plan required under section 2346 of the Small, Local,
and Disadvantaged Business Enterprise Development and Assistance Act of 2005, as
amended, D.C. Official Code § 2-218.01 et seq. ("Act"), including a certification that the
subcontracting plan meets the minimum requirements of the Act and the dollar volume of
the portion of the contract to be subcontracted, expressed both in total dollars and as a
percentage of the total contract amount:

(H) Performance standards and the expected outcome of the proposed contract:
The contractor shall provide the services required according to the contract specifications,
delivery schedule, and dollar amount.

for the agency for the fiscal year and is consistent with the financial plan and budget

The UDC Chief Contracting Officer has certified that the proposed contract is within the
appropriated budget authority for the agency fiscal year and is consistent with the financial plan
and budget for the period of the contract in accordance with D.C. Official Code §§ 47-392.01
and 47-392-02.
(K) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:
The University of the District of Columbia's General Counsel has certified that the proposed
contract is legally sufficient and that the proposed contractor has no pending legal claims against
the District.
(L) A certification that Citywide Clean Hands database indicates that the proposed
contractor is current with its District taxes. If the Citywide Clean Hands Database
indicates that the proposed contractor is not current with its District taxes, either: (1) a
certification that the contractor has worked out and is current with a payment schedule
approved by the District; or (2) a certification that the contractor will be current with its
District taxes after the District recovers any outstanding debt as provided under D.C.
Official Code§ 2-353.0l(b):
The Citywide Clean Hands database certified on May 15th, 2024 that the proposed contractor is
current with its District taxes.
(M) A certification from the proposed contractor that it is current with its federal taxes, or
has worked out and is current with a payment schedule approved by the federal

Ellucian Company LLC is an out-of-state registered corporation and has no status qualification

Conclusion:
The University of the District of Columbia (University) has the available funding to support the
proposed multiyear contract between the University and Ellucian Company LLC. (Ellucian) in
the amount of $3,181,429.
Background:
The Board of Trustees (“Board”) of the University of the District of Columbia passed Resolution
No. 2024-20 on June 4, 2024, which provided approval to a proposed multiyear contract in the
amount of $3,181,429 for software licensing, application hosting, and maintenance by Ellucian
in support of the University’s Banner Enterprise Resource Planning system. The contract term
would begin October 1, 2025, and end September 30, 2027.
The annualized costs of the contract with Ellucian are outlined below:

Financial Impact:
The University has sufficient fund balance to support the proposed multiyear contract in the
amount of $3,181,429.00 subject to the approval of related budget authority for the University to
expend its institutional funds in the FY 2025, FY 2026, and FY 2027 budget acts.
The University included sufficient funds for the contract in its proposed FY 2025 budget which
was incorporated in the Fiscal Year 2025 Local Budget Act of 2024 (B25-0785), approved by the
D.C. Council on June 12, 2024. The University will allocate funds for the contract in FY 2026
and FY 2027 as part of the annual budget development process.
