Pursuant to section 451 of the District of Columbia Home Rule Act (D.C. Official Code § 1-
204.51) and section 202 of the Procurement Practices Reform Act of 2010 (D.C. Official Code §
2-352.02), enclosed for consideration and approval by the Council of the District of Columbia is
proposed Modification No. M0003 to Contract No. CW101640 with Transitional Housing
Corporation dba Housing Up to exercise option year one in the not-to-exceed amount of
$4,701,483.36. The period of performance is from October 1, 2023 to September 30, 2024.
Under the proposed contract modification, Transitional Housing Corporation dba Housing Up will
continue to provide case management services for families in the Department of Human Services
Family Rehousing and Stabilization Program.

Per the funding certification, the DHS Agency Fiscal Officer certified that funds are available in the
Fiscal Year 2024 budget to fund the contract.

1. In accordance with Human Care Agreement No. CW101640, Section D.3, Option to Extend the Term of the Agreement, the
Government of the District of Columbia hereby exercises Option Period One (1) to extend the term of this Human Care
Agreement from October 1, 2023 through September 30, 2024 in the not-to-exceed amount of $4,701,483.36, per Attachment
below. Services to be performed are subject to the issuance of task orders. Funding will be encumbered on each task order.

The Provider’s rates shall include overhead, profit, all insurance costs including Workers Compensation, employer
payroll taxes (FICA, Medicare, Federal and State) and other direct costs.
*All nonprofits organization’s fixed rates shall be fully loaded and include the organization’s unexpired NICRA. If
a nonprofit organization does not have an unexpired NICRA, the nonprofit organization may elect to be
compensated for indirect costs: (1) As calculated using a de minimis rate of 10% of all direct costs under this
contract; (2) By negotiating a new percentage indirect cost rate with the DHS; (3) As calculated with the same
percentage indirect cost rate as the nonprofit organization negotiated with any District agency within the past 2
years; or (4) As calculated with a percentage rate and base amount, determined by a certified public accountant
using the nonprofit organization’s audited financial statements from the immediately preceding fiscal year,
