204.51) and the Procurement Practice Reform Act (D.C. Official Code §§ 18-371 et seq.), enclosed
for consideration and approval by the Councilofthe District of Columbia is proposed contract
CW102344 with Housing Counseling Services Inc. The proposed contract has a not to exceed
amountof$1,229,000 for a termofone year from the dateof the award.
Under the proposed contract, they will provide: (1) foreclosure-related counseling; (2) mortgage
related or foreclosure-related legal assistance; (3) counseling as required for residents applying for
mortgage relief, property taxes, homeowner insurance, utilities, and condo association dues
through the Homeowner Assistance Funds; (4) mortgage or foreclosure-related mediation
assistance; (5) outreach and assistance aiding current and former homeowners secure benefits they
are eligible for under foreclosure-related settlements or judgments and (5) community outreach
and marketing services.

(A) Contract Number: CW102344
Proposed Contractor: Housing Counseling Services, Inc., (HCS)
Contract Amount: Not-to-exceed (NTE) $1,229,000
Unit and Method of Compensation: Based on the delivery of services associated with fixed
price line items, and supplemental services provided on
an hourly basis as ordered and delivered based on fully
loaded hourly rates.
Term of Contract: One year from November 16, 2022, the date of award of
Letter Contract
Type of Contract: Fixed price with labor-hour component
Source Selection Method: Sole Source
(B) For a contract containing option periods, the contract amount for the base period and for
each option period. If the contract amount for one or more of the option periods differs from
the amount for the base period, provide an explanation of the reason for the difference:
Base Period Amount: NTE $1,229,000
(C) The goods or services to be provided, the methods of delivering goods or services, and any
significant program changes reflected in the proposed contract:
HCS will administer the Department of Insurance, Securities, and Banking (DISB) Foreclosure
Prevention Program (the Program) and based on HCS’s performance under previous awards for
similar services, it has the required technical capabilities and experience to deliver housing
counseling services to the District’s residents.

The requirements include foreclosure prevention or mitigation, credit counseling, home/budget
management, assistance with applying for program assistance and managing the home purchase
process and these services have been instrumental in assisting District residents to retain their
homes and improve their financial capacity, reduce debt load, increase savings, and increase credit
scores.
(D) The date on which a competitive procurement for these goods or services was last conducted,
the date of the resulting award, and a detailed explanation of why a competitive procurement
is not feasible:
HCS has been supporting and assisting DISB in administering the Program under previous
contracts CW53979 and CW24302 since 2014.
Also, since the program’s inception, there has been a requirement that the services are to be
provided by a Department of Housing and Urban Development (HUD) certified counseling
organization, and the HCS staff consists of HUD certified counselors. HCS is the only identified
vendor that can provide the services along with fulfilling the HUD staffing requirements.
Since no qualified vendor was found based on the market research and taking into consideration the
nine years of HCS’s experience providing these services to DISB, it is in the District’s best interest
to award the sole source contract to HCS.
(E) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District. Include the identity of the protestor, the grounds
alleged in the protest, and any deficiencies identified by the District as a result of the protest:
There are no protests related to the award of the contract.
(F) The background and qualifications of the proposed contractor, including its organization,
financial stability, personnel, and performance on past or current government or private
sector contracts with requirements similar to those of the proposed contract:
HCS has been supporting and assisting DISB in administering the Program since 2014 providing:
(1) mortgage or foreclosure counseling; (2) mortgage or foreclosure legal assistance; (3) mortgage
or foreclosure mediation; (4) outreach or assistance to help current and former homeowners secure
the benefits for which they are eligible under mortgage or foreclosure settlements or judgments and
(5) community outreach and marketing services.
HCS is a non-profit 501(c)3 organization founded in 1972 and provides training, counseling,
advocacy and assistance to tenants, homebuyers, homeowners and the homeless throughout the DC
metropolitan area. As a HUD-certified housing counseling agency, HCS has extensive experience
providing direct client services, providing foreclosure counseling, designing, and implementing
new programs of similar size and scope, managing project related partnerships, relevant data
collection s, and administering government grants. HCS has an extensive roster HUD-certified
housing counselors, and a multilingual staff who speak who fluently speak 11 languages to all
District residents.

HCS adequate financial resources to perform the contract based on the DNBI report dated
December 14, 2022. HCS has provided similar to those of proposed services to City of Alexandria,
DC Department of Health, Department of Housing and Urban Development and multiple other
public and private institutions.
(G) A summary of the subcontracting plan required under section 2346 of the Small, Local, and
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended,
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the subcontracting
plan meets the minimum requirements of the Act and the dollar volume of the portion of the
contract to be subcontracted, expressed both in total dollars and as a percentage of the total
contract amount:
Waiver No. WR4130, waiving all subcontracting requirements, was approved by the District’s
Department Small and Local Business Development on October 7, 2022.
(H) Performance standards and the expected outcome of the proposed contract:
The contractor must deliver requirements stated in the scope of work and deliverable schedule in
accordance with the terms of the contract at the prices listed in the price schedule.
(I) The amount and date of any expenditure of funds by the District pursuant to the contract
prior to its submission to the Council for approval:
A letter contract was awarded on November 16, 2022, with a not-to-exceed amount of $491,600
until the Council approval was received.
(J) A certification that the proposed contract is within the appropriated budget authority for the
agency for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:
DISB’s Office of the Chief Financial Officer certified the availability of funding in their budget to
cover the cost of this contract via funding certification dated January 25, 2023.
(K) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:
The Office of the Attorney General, Government Contacting Section, has certified that the contract
is legally sufficient.
(L) A certification that Citywide Clean Hands database indicates that the proposed contractor is
current with its District taxes. If the Citywide Clean Hands Database indicates that the
proposed contractor is not current with its District taxes, either: (1) a certification that the
contractor has worked out and is current with a payment schedule approved by the District;
or (2) a certification that the contractor will be current with its District taxes after the District
recovers any outstanding debt as provided under D.C. Official Code § 2-353.01(b):

A Clean Hands Certification from the Office of Tax and Revenue dated January 11, 2023, indicates
that the contractor is current with its District taxes.
(M) A certification from the proposed contractor that it is current with its federal taxes, or has
worked out and is current with a payment schedule approved by the federal government:
Based on information provided in their Bidder/Offeror Certification Form dated November 30,
2022, HCS has certified that it is current and in compliance with all federal tax laws and
regulations.
(N) The status of the proposed contractor as a certified local, small, or disadvantaged business
enterprise as defined in the Small, Local, and Disadvantaged Business Enterprise
Development and Assistance Act of 2005, as amended, D.C. Official Code § 2-218.01 et seq.:
HCS is not a certified local, small, or disadvantage business enterprise.
(O) Other aspects of the proposed contract that the Chief Procurement Officer considers
significant:
None.
(P) A statement indicating whether the proposed contractor is currently debarred from providing
services or goods to the District or federal government, the dates of the debarment, and the
reasons for debarment:
As of December 14, 2022, HCS is not on the District or federal contractors debarred or excluded
parties lists and is qualified and eligible to receive an award under applicable District laws and
rules.
